FREE NON-EXCLUSIVE BEAT LICENSE AGREEMENT

By downloading, recording on, distributing, monetizing, or otherwise using any instrumental/beat
made available by the Producer in this folder (“Beat”), you (“Artist”) agree to the terms below.©
1. License Grant©
The Producer grants the Artist a free, non-exclusive, revocable license to use the Beat to
create one or more original musical recordings (“Song”), subject to the terms of this agreement.
This means:
● The Beat may be used for recording and releasing songs.
● Monetized streaming and uploads are permitted.
● Multiple artists may use the same Beat.
● The Producer retains ownership of the Beat at all times.
2. Required Producer Credit©
Artist agrees to visibly credit the Producer wherever reasonably possible, including streaming
metadata, YouTube descriptions, social media posts, and distribution platforms. NO AI was used
in the creation of these beats. All beats were made with ARCADE, SPLICE, and FL STUDIO.
Credit format:
“Prod. by [Scarlette Hellene]”
Failure to provide credit may constitute a breach of this agreement.
3. Required Splits / Publishing©
Use of any Beat constitutes agreement to the following songwriting/publishing split:
Producer Share: [INSERT 50%]
Artist Share: [INSERT 50%]
Unless otherwise agreed in writing:
● The Producer shall receive their agreed songwriting/publishing percentage for any Song
created using the Beat.
● Artist agrees to properly register splits with distributors, publishing administrators, and
royalty organizations where applicable.
● Artist may not falsely claim sole authorship of music created using the Beat.
● Co-Producers with proof of co-production may peacefully reach out for 25% of
producer’s earnings. Proof includes a copy of the master recording and a previous
verbal agreement.
Example common setup:
Producer: 50% songwriter share
Artist: 50% songwriter share
(Replace this with your preferred split.)
4. Monetization©
Artist may:
● Upload songs to streaming services
● Monetize songs
● Monetize YouTube videos
● Perform songs live
● Promote songs commercially
provided all required splits and credits are honored.
5. Prohibited Uses©
Artist may NOT:
● Sell, resell, or redistribute the Beat by itself (that is the sole right of producer)
● Claim ownership of the Beat/instrumental composition
● Upload the Beat by itself as their own instrumental release
● Register the Beat or Song in a way that excludes the Producer’s ownership or agreed
splits
● Register the Beat in exclusive ownership systems without permission
6. Content ID / Copyright Systems©
Artist may NOT register the instrumental/beat in:
● YouTube Content ID
● Facebook Rights Manager
● Audio fingerprinting systems
● Any exclusivity-based copyright claim systems
without written permission from the Producer.
Artist may not make claims that interfere with the Producer’s ability to use, distribute, or license
the Beat.
7. Non-Exclusive Rights
This is a non-exclusive license.
Producer may:
● Continue distributing the Beat
● License the Beat to other artists
● Sell exclusive rights separately
● Remove Beats from this folder at any time
8. Exclusive Rights
Exclusive ownership is not included under this free license.
Any exclusive rights must be negotiated separately in writing with the Producer.
9. Breach of Agreement
Failure to provide agreed splits, proper credit, or compliance with this agreement may result in:
● Revocation of this license
● Copyright enforcement
● Revenue disputes
● Bigotry/hate content
● Content related to defamation of Scarlette Hellene
● Removal requests
10. Acceptance of Terms
By downloading, accessing, recording with, uploading, distributing, monetizing, or otherwise
using any Beat from this folder, Artist acknowledges that they have read and agreed to these
terms.
Producer and Artist acknowledges that these beats were created using splice samples, which
were royalty free and therefore content ID non-elligible.
Artist and producer, both understand that producer is allowed to and will continue to broadcast,
distribute post and otherwise hold and share the original beats without any edited vocals or
edited production. The producer has final say in if a piece of content can remain public, based
on any perception of a violation of the terms and conditions of this agreement, and reserves the
right to pursue any claims of copyright violation, past, present, or future. Artist always retains the
right to their recordings and lyrics.
